As used herein, “you” and “your” shall refer to you, and “we,” “us,” and “our” may sometimes be used to refer to Company. We recommend that you read these Terms of Use carefully before using the Website. By accessing and continuing to use the Website, you agree to be legally bound by these Terms of Use. If you do not agree with any of our Terms of Use then you should not use our Website.

When using the Website you may also be presented with and terms and conditions applicable to the particular third-party retailers with products, services or gift cards available via the Website. Any such terms and conditions are incorporated herein and your use of the Website shall subject you to such third-party terms and conditions.

The Website is not intended for minors. If you are under age 13, you must have the permission of your parent or legal guardian in order to view the Website. If you are under the age of 18, you must have permission of your parent or legal guardian in order to make any purchases via the website.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at the Company's sole discretion, and the Company may refer you to appropriate law enforcement agencies.You are responsible for any personal information submitted to the Website, in connection with the purchase of goods and services, gift cards, or otherwise, via your account or through your computer. Any personal information, including any credit card numbers and authorizations, submitted will be deemed submitted by the registered owner of the email account under which it was submitted.

By submitting any information to facilitate payment for any goods, services or gift cards via the Website, you warrant and represent you have the legal right and authority to submit such information. If you are under the age of 18, you must obtain the permission of your parents to make a purchase via the Website.

You agree to use the Website only for lawful purposes, in accordance with all federal rules and regulations, and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party.

You agree to compensate us in respect of any damages suffered by us or any of our losses resulting from any claim made by a third party in each case in respect of any matter arising from your use of the Website in breach of these Terms of Use or from your violation of any applicable law or regulation.

You agree not to give any indication that you are agent of Company or that you have any commercial relationship with Company unless a separate agreement setting forth the terms of such relationship is executed by Company.

Restrictions on Use of Website:

The contents of the Website and the computer codes of elements comprising the Website and any software provided to you by us may not be copied, reproduced, communicated and/or made available to the public, republished, downloaded, posted, recorded, broadcast or transmitted or used in any other way except for your own personal, private use, or unless otherwise expressly permitted by us.

You agree that you will not use the Website in any way that may lead to the encouragement, procurement or carrying out of any criminal or unlawful activity, or cause distress, harm or inconvenience to any other person.

You may not attempt to, or assist, any other person to remove or otherwise alter or interfere with any security technology used in connection with the Website, nor may you permit or assist in any way any third party to use the material or content made available by Company via the Website in an unlawful manner or in a manner which could infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party.

Intellectual Property:

The Website may contain names, logos, photos, artwork, text, slogans, recordings, images, technology and other materials which are the intellectual property of Company or a third party (the “Intellectual Property”). All rights of any kind in and to any Intellectual Property contained on this Website and all material or content made available by Company via the Website shall remain at all times the property of Company or the applicable third party providing the Intellectual Property.

The names, images and logos identifying Company, our partners or third parties and our/their products and services contained in the Website are proprietary marks and may not be reproduced or otherwise used without express permission.

Nothing contained in these Terms of Use shall be construed as conferring by implication any license or right to use any trade mark, patent, design right or copyright of Company or of any third party. The copyright in this Website vests in Intertainment Broadcasting Corporation, 2009.

This Website may contain links to other third party websites and services through advertising or otherwise. These links are provided for your ease of reference and convenience only. Company has no control over those third party websites or services and is not responsible for their contents. Company does not endorse the material contained in their websites or services, and has no association with their operators. You agree that Company will not be a party to any transaction or contract with a third party into which you may enter and Company will not be liable to you for any loss or damage which you may suffer by using those third party websites and services. You agree that you will not involve Company in any dispute you may have with such third party websites and services.

You shall not link or imbed our Website into any website owned by you or any third party in a manner which misleads the public as to the origination and sponsorship of the Website.

Friends and Family Referral Program Terms:

You may be eligible to participate in the Friends and Family Referral Program. To participate, ask friends and family to register at www.chaseit.com/referralprogram. Then ask them to call 1-888-CHASEit (1-888-242-7348) to purchase a gift card or ecode and provide your Referral ID code, provided to you by Company. If you would like to receive a Referral ID code, please contact us at help@chaseit.com. Referral IDs are only provided to persons who have purchased a gift card or e-code through the Website. Only one Referral ID per person or account. If you lose or misplace your Referral ID please contact us and we will email it to you.

You may refer as many people as you want, provided you have an existing personal relationship with such persons. You agree that you shall not send your Referral ID to emails harvested, purchased or otherwise obtained by you in violation of any state or federal laws with respect to SPAM or internet marketing in general and that any distribution of your Referral ID shall comply with all state and federal laws and regulations. You agree to indemnify, defend, and hold us harmless from any and all claims and or damages arising as a result of your use or dissemination of your Referral ID.

The first time a person you refer makes a purchase by calling 1-888-CHASEit (1-888-242-7348) and provides your Referral ID code, you will receive a One Dollar ($1) credit for each card purchased during that transaction, which may be redeemed only as Bonus Cash in connection with a CHASEit telephone purchase. The referred person will also receive One Dollar ($1) Bonus Cash for the transaction in addition to the Bonus Cash available through CHASEit. For example, if your friend purchases five cards on his first CHASEit telephone transaction, you would receive an additional $5 Bonus Cash in your account and he would receive an additional $1 Bonus Cash in his account. Once the Bonus Cash is added to your account, it will be available to increase your Bonus Cash check when you purchase a gift card by calling 1-888-CHASEit (1-888-242-7348).

There is no limit to the amount of Bonus Cash you can receive through the Friends and Family Referral Program, but the Bonus Cash expires after ninety (90) days in your account. Additional Bonus Cash from the Friends and Family Referral Program is only available for purchase made by calling 1-888-CHASEit (1-888-242-7348) and not for purchases made via the Website.

Bonus Cash from the Friends and Family Referral Program is tallied from the 1st to the 16th of each month, and your Bonus Cash dollars will be available within ten days following the tally. Bonus Cash earned from the Friends and Family Referral Program is not redeemable for cash and can only be used to increase your Bonus Cash on purchases made by telephone after the Bonus Cash is credited to your account. Company reserves the right to discontinue the Friends and Family Referral Program at any time, however any Bonus Cash existing in your account at such time shall expire only as set forth above.

Our Legal Obligations and Limits On Liability:

We cannot promise that the Website will be free from errors or omissions nor that it will be available uninterrupted and in a fully operating condition at all times. The Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons reasonably beyond our control. The Website and all products, services, or gift cards made available on the Website are provided on an “as-is” and “as available” basis. We will not be liable to you or to any other person in the event that all or any part of the Website or any material generally available on the Website is not available, discontinued, modified or changed in any way.

Company does not accept any liability for:

• Any damage to your computer, any software or for any loss of data that results from your use of the Website;
• Any failure, any suspension and/or any termination of access to the Website or any content or delay in receipt of any item purchased from the Website in connection with or arising out of a force majeure event. In these Terms of Use, a "force majeure" event shall include, without limitation, strikes, lock-outs or other industrial disputes, nuclear accident or acts of nature such as fire, flood, or earthquake, or storm, war or terrorist activity, riot, civil commotion, malicious damage, compliance with any law or government order, rule regulation or direction, accident or breakdown of plant or machinery, or default of suppliers, and where they are beyond our reasonable control, any other acts, events, omissions or accidents; and/or
• Any claims brought against you by a third party.
• Any use by you or any other party of any products or services purchased on the Website or any products or services purchased with gift cards purchased on the Website.

Company shall not be responsible for any damage or loss caused to you where such damage or loss is not reasonably foreseeable to you and us when you use the Website. In any event, the sole limit of Company's liability to you in connection with your use of the Website and/or the purchase, receipt or use of any product, service or gift card will be replacement or refund, at Company's option of the actual value of the product, service or gift card.

You acknowledge that a breach by you of the Terms of Use may cause Company irreparable harm, for which the compensation cannot be adequately provided in monetary damages. Therefore, Company shall have the right to injunctive relief in the event of any breach or alleged breach by you of the Terms of Use.

User Submissions and Conduct

From time to time, you may have the opportunity to submit content in the form of a blog, a comment, a forum post, a video, or other content viewable to the general public via the Website (collectively "User Submissions"). If you choose to provide a User Submission, you represent, and/or warrant that any User Submission submitted will be your wholly original work to which you retain all proprietary rights and that you will not post as a User Submission any material that is copyrighted or trademarked by, or otherwise the intellectual property of, any third party unless and until you have obtained all necessary rights and clearances from such proprietary rights owners. You further agree that you will not submit material that violates any third party rights, including privacy and publicity rights, or that is defamatory or libelous, inaccurate, inappropriate, offensive, sexually explicit.

Despite these prohibitions on User Submissions, some User Submissions may contain inaccurate, inappropriate, offensive or sexually explicit material, and Company assumes no responsibility or liability for this material. Company shall have the right, but no obligation, to monitor the User Submissions or remove any User Submissions which violate these Terms of Use. You retain all of your ownership rights in your User Submissions. However, by submitting User Submissions on the Website, you grant Company a worldwide, non-exclusive, perpetual, royalty-free, irrevocable, sub-licenseable and transferable license to use, reproduce, distribute, prepare derivative works of, and display the User Submissions in any media formats and through any media channels. You also hereby grant each user of the Website a non-exclusive license to access your User Submissions through the Website as allowed under these Terms of Use.

Company does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Company expressly disclaims any and all liability in connection with User Submissions. Company will remove any User Submission if properly notified, in accordance with the Digital Millennium Copyright Act, that such User Submission infringes on another's intellectual property rights. Company reserves the right to remove Content and User Submissions without prior notice.

Do not provide your name, phone number, postal or e-mail address, your password, or any other personally identifying information as part of a User Submission.

NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

If you believe that any material contained on the Website infringes your copyright, you should notify Company using the following procedure.

Company will process notices of alleged infringement which it receives and will take appropriate actions as required by the Digital Millennium Copyright Act (the "DMCA") and other applicable intellectual property laws. 2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online side are covered by a single notification, a representative list of such works at that site;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;

Indemnity

You agree to defend, indemnify and hold harmless Company, its parents and affiliates together with their respective employees, agents, directors, officers and shareholders, from and against all the liabilities, claims, damages and expenses (including reasonable attorney's fees and costs) arising out of your use or misuse of the Website, including fraud, your breach or alleged breach of the Terms of Use, or your breach or alleged breach of the copyright, trademark, proprietary or other rights of third parties.

Employment Opportunities

Company may, from time to time, post employment opportunities on the Website. If you choose to submit your name, contact information, resume and/or other personal information to Company in response to an employment listing, you are authorizing Company to utilize this information for all lawful and legitimate hiring and employment purposes. Company also reserves the right, at its sole discretion, to forward the information you submit to its parents, members, subsidiaries and affiliates for legitimate business purposes. Nothing in these Terms of Use or contained in the Website shall constitute a promise by Company to interview, hire or employ any individual, nor shall anything in these Terms of Use or contained in the Website constitute a promise that Company will review any or all of the information submitted.

Unsolicited Submissions

Company does not knowingly accept unsolicited submissions for programs, segments or otherwise, including, without limitation, submissions of scripts, story lines, segment ideas, articles, fan fiction, characters, drawings, information, suggestions, ideas or concepts. Any unsolicited submission shall be deleted, or not reviewed if sent via mail. Any similarity between an unsolicited submission and any elements in any Company programming or business plans or affairs would be purely coincidental.

Severance:

If any provision of these Terms of Use shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of these Terms of Use which shall remain in full force and effect.

Law and Jurisdiction:

These Terms of Use shall be governed by and construed in accordance with the laws of California, regardless of the state or jurisdiction from which the Website was accessed. Disputes arising in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Orange County, California, or, if appropriate, the United States District Court for the Central District of California.
